Terminix has acquired substantially all of the assets of Capelouto Termite & Pest Control of Tallahassee, FL.

Founded in Tallahassee by the late Reuben Capelouto in 1964 as a one-man, one-truck operation, Capelouto has served the Tallahassee area for over 50 years.

“We are very pleased to join the Terminix family,” said Grant Capelouto, co-owner of Capelouto. “As the leading termite and pest control company in the U.S., my brother Raymond and I are confident that Terminix is best positioned to continue providing the high quality service that our customers deserve and have come to expect. The Potomac Pest Control Group is pleased to announce the sale of its client, LR Pest Elimination, to Rentokil North America.

Founded in 1983 by Ron Hier, LR Pest Elimination is one of the largest pest control service providers in the state of Vermont and enhances Rentokil North America’s footprint in New England.

LR Pest Elimination engaged Potomac to value the firm and provide advice regarding strategic alternatives, including a potential sale. After completing a preliminary valuation and operational review of the business, the shareholders decided to take the business to market.

The sale process was competitive and the ultimate terms of the transaction resulted in a purchase price over 40% higher than indicated by the preliminary valuation that was performed the prior year.

Brandon Hier, who will continue on as president of LR Pest Elimination under Rentokil said: “Paul Giannamore of Potomac was excellent. Rentokil North America, one of North America’s largest pest control companies, today announces it has acquired Anderson Pest Solutions, based in Chicago. The acquisition is in line with Rentokil’s global strategy to continue growing its pest control business and to pursue acquisition targets in higher growth markets such as North America. Anderson ranks in the top 40 of the 100 largest pest companies in North America and has strong market positions in the Chicago metropolitan area, as well as Wisconsin, Indiana and Missouri.

As many of you have heard me say in a variety of industry speaking engagements over the last two months, valuations in the pest control market have peaked and will likely remain elevated for the next six months or so (we’ll be publishing a report on that next week and you can get it here when it comes out).

Rentokil’s acquisition of Steritech for $425 million (2.8x revenue / 28x EBITA) in cash likely represents the high water mark in terms of valuation and pricing.

John Whitley, founder of Steritech, has come full circle as he used to run Rentokil North America decades ago before founding Steritech. It’s awesome to be able to sell your business to your former employer for $425 million in cash and I salute John for building a phenomenal company — and after running it for decades — to exit at the exact right moment.

If he would have sold this business two years ago, he would have been lucky to get $250 million for it — what a huge difference two years makes.

Below is Rentokil’s commentary on the transaction. We’ll discuss this transaction more in the coming weeks.

Rentokil Initial plc enters into an agreement to acquire The Steritech Group, Inc. (“Steritech”) – one of the leading pest control businesses in North America, operating in both the United States of America and Canada – further accelerating the growth of its pest control business.

Highlights

  • The Company has agreed to acquire Steritech for $425m in cash, subject to US regulatory approval.
  • Steritech is a high quality provider of pest control services with a US national footprint. It is also the market leading provider of brand standards auditing services in North America.
  • The acquisition strengthens our position as the number three pest control business in the US, a $7.5bn market which accounts for 50% of global pest control services and is a key strategic market in our Growth quadrant.
  • Rentokil also becomes the third largest pest control company in Canada, creating a competitive national business, twice the size of its current Canadian operations.
  • The Company’s North American business now has annual revenues of $0.8bn and becomes its largest operation.
  • Steritech provides a highly complementary geographic fit – building route density and scale in line with the Company’s strategy for profitable growth.
  • The brand standards auditing business provides a new dimension to Rentokil Initial’s pest and hygiene services with potential for global leverage.
  • Steritech has a well-deserved reputation for market leading quality standards and technical know-how. The Company sees a strong cultural fit with emphasis on customer care as evidenced by high levels of customer retention.
    Strong financial case based on year three cost synergies estimated to be at least $25m and good revenue synergies.
    The transaction is expected to deliver profit before interest, tax and amortisation (“EBITA”1) of $25m – $30m in 2016 and to achieve EBITA returns in excess of 12% by 2018.

Steritech Overview

Steritech, which is headquartered in Charlotte, North Carolina, was established in 1986 and is one of the leading pest control businesses in North America. Steritech is engaged in commercial pest control (approximately $97m of revenue) and brand standards auditing (approximately $53m). It has a high quality management team with particular strengths in national and large account sales. We plan to retain all key Steritech management in the combined business.

In addition to its core pest control operations, Steritech is North America’s market leader for brand standards auditing to the restaurant and food retail industries. This service is delivered through onsite audits covering food safety, operational excellence and quality of customer service.

Brand standards auditing is an attractive additional business line which has similar customer segments to pest control. These services are delivered by highly trained consultant auditors who help customers to deliver consistently on their brand promises by providing a third party monitoring mechanism. This evaluates whether their food preparation, food delivery and customer experience criteria are being met. Further, these audits identify where corrective action is required. The brand standards business has grown organically by a compound annual growth rate (“CAGR”) of 14% since 2013. Rentokil does not currently service this market (currently worth $325m p.a. in North America), and so the acquisition of Steritech provides the Company with access to a relatively under-developed market with high growth potential both in North America and eventually internationally through leverage of Steritech’s North American relationships and Rentokil’s international footprint.

The brand standards and pest control businesses are highly complementary providing significant opportunities for increased lead generation across the combined business.

Financial Performance

Steritech has a strong track record of revenue growth and customer retention with revenues growing by a CAGR of 10% since 2013.

Steritech’s reported EBITA in the year ended March 2015 was c$10m. Based on pro forma adjustments the Company estimates underlying2 EBITA for the year ended March 2015 to be $15m. Rentokil expects to be able to increase EBITA to over $50m by 2018 through cost synergies of at least $25m including back office and operational cost savings across Rentokil Initial’s combined North American business with the remainder of profit growth through revenue growth and synergies. Steritech operates on an “asset-light” basis with gross assets at 31 March 2015 amounting to $38m.

Significant Opportunity to Accelerate Growth and Margins

Rentokil Initial has been pursuing a strategy of growth in the highly attractive North American pest control market for several years. The Company’s pest control business in North America has grown by a CAGR of 15% since 2006 through both strong organic growth and acquisitions. The acquisition of Steritech provides an excellent opportunity for accelerated revenue growth in our North American business organically and through synergies including national accounts sales, increased jobbing work and the provision of new services to existing customers.

The acquisition increases our scale in North America, creating a business which, combined with the recent acquisition of Anderson Pest Solutions in Chicago (announced on 28 August 2015), now has annual revenues of $0.8bn. This will help the Company in its ambition to achieve significantly enhanced margins through leverage of head office costs, reductions in branch level operational administration, better procurement terms, increased route density, improved service technician productivity and field management span of control. The strong geographical fit enables the Company to infill existing low density states in North Carolina and South Carolina, as well as build density in the West, Midwest and Northeast.

Transaction Overview
The transaction will be financed through existing cash resources and a new debt facility which provides the Company with the opportunity to borrow up to £300m, maturing in 2018, at an interest rate of 1.5%, resulting in interest costs relating to this transaction of £4m in 2016. The transaction is expected to close in the fourth quarter of 2015 upon satisfaction of certain customary conditions, including Hart-Scott-Rodino anti-trust clearance.

The Potomac Company is pleased to announce that its client, EcoShield Pest Control, has sold its Oklahoma operations to Massey Services of Orlando, Florida in a competitive sale process.

EcoShield Pest Control is a large, regional pest control firm that operates in multiple states and has over 200 employees.

Harvey L. Massey, Chairman and CEO of Massey Services, proudly announces the purchase of EcoShield Pest Control of Oklahoma City, Okla and says:

Emergent Pest Control Company Provides Further Momentum in Residential Services Market 

The Potomac Company is pleased to announce that Terminix®, the leading provider of termite and pest control services in the United States, has acquired the assets of its client Alterra Pest Control. Founded in 2012, Alterra is one of the 15 largest pest control companies in the U.S. Led by entrepreneur David Royce, the company has been consistently recognized for its success by pest control industry thought leaders and media. Alterra reported $45 million in revenue in 2014 and was generating revenue greater than $70 million at the time of the transaction.

This acquisition continues the Terminix growth strategy of organic growth, new services and acquisitions. In the past twelve months Terminix has also acquired other well-known pest, termite and wildlife control companies in North America, including Ace Pest Control, Atlanta Pest Control, Bug Busters, Cabot Pest Control, Capelouto Termite and Pest Control, and Excel Pest Control.

Rentokil North America Has Acquired the Oliver Exterminating Group

Rentokil Acquires Oliver ExterminatingOliver Exterminating Group, based in Miami, Florida, and with operations in Florida, Arizona, Puerto Rico, and the Dominican Republic, was acquired by Rentokil North America.  Oliver, with annual revenues over $30 million, was ranked number 24 in the PCT Top 100 in 2015.

The acquisition greatly expands Rentokil’s footprint in Arizona and Florida and marks the company’s entry into the Caribbean.  Oliver has 16 offices, including four in Florida, five in Arizona, six in Puerto Rico, and one in the Dominican Republic, and employs 371 people.

Oliver had been owned by Olivier Grinda and his family since 1982.  Grinda’s minority partner was industry veteran Larry Weinberg, who retired in 2003.  At that time, Bert Putterman, who had been with the business since 1989, took over as president and CEO.  Putterman will continue to run the Oliver operation, and is currently spending significant time in Puerto Rico and the Dominican Republic.  Also being retained is Putterman’s long-tenured management team, including Doug Wyly (Arizona Exterminating), Nick Garcia (Guarantee Floridian), and Michael Holston (Oliver, Puerto Rico, and Dominican Republic).

Putterman commented on the transaction, “One of the things that happens in companies, is that unless you are growing dynamically, upward advancement becomes frozen.  With Rentokil there is a ton of opportunities, so it provides a lot of talented people on the Oliver side with room to move.”

Rentokil has acquired Abadi Hygiene Services. Founded 1997, Abadi is one of the largest Malaysian companies specializing in washroom hygiene, femicare, IT sanitizing, general pest control, fumigation, and termite control.

Abadi has more than 180 employees and operates in offices located in Penang, Ipoh, Selangor, Malacca, Pahang and Johore.

The terms of the transaction were not disclosed.

Massey Acquires EcoShield Texas, Completes Largest Deal Since Middleton Acquisition

The Potomac Company is pleased to announce that its client, EcoShield Pest Control, a Top 25 US pest control company, has sold its Dallas, Houston and San Antonio, Texas operations to Massey Services. This acquisition represents Massey’s largest transaction since it acquired Sunair / Middleton almost seven years ago.

Potomac Announces Strategic M&A Transaction for Catseye to Fund Future Growth of the Brand

The Catseye USA team (Catseye Pest Control’s parent / media company). I am in the mix as well. They say a camera adds 10 pounds to you, apparently they had 3 or 4 cameras on me.

Well, the cat’s out of the bag…(sorry, that’s something my father would say while the rest of us would just roll our eyes… I guess I’m getting old) ServiceMaster is now the proud owner of certain assets of the Catseye family — a PCT Top 100 pest control company.

To the outside world, this looks like a simple transaction.

“Big deal,” you’re thinking, “So you sold pest control assets to ServiceMaster’s pest control division. So what? This happens all the time.”

Like many things in life, however, there is the seen and the unseen. This was a very strategic transaction and it is a small part of what Catseye’s parent company will be doing going forward.

I won’t be going into details today as I am going to give ServiceMaster time to issue their own release — especially considering it’s so close to earnings season. However, we’ve already got a case study on this one in the works as I personally learned a lot from it and I know you will too.

Finally, this is a very special client for me.  Founded in 1987 by John and Monica Gagne, Catseye has grown to a $9.7 million firm (ranking #69 on the 2015 PCT Top 100) operating in New York, western Massachusetts and Florida. For Catseye, this transaction is just the first step and will set the stage for future growth. I’ve been blessed to work with some of the fastest growing, most innovative and most profitable pest control companies on the globe and Catseye is certainly no exception. I am excited for the future with Catseye and I am humbled that they have asked me to be a key part of it.

Alterra Forbes Potomac

In the May 31, 2016 print edition of Forbes, the magazine discussed the recent acquisition of our client Alterra by Terminix as well asPotomac Company Forbes Magazine transaction multiples in the industry. Karsten Strauss, in his Forbes article said:

“After three and a half years in operation Alterra shot to $75 million in revenue–at just the right time. In recent years consolidation in the$7.8 billion U.S. pest-control industry has been pushing valuations as high as 2.5 times revenue, twice the usual multiple. That’s been fueled partly by a string of U.S. acquisitions by Rentokil, a U.K. company. Last year Royce hired Paul Giannamore, a pest-industry specialist with the Potomac Co., a boutique investment bank, to negotiate a sale to Terminix, this one for an estimated $135 million. “He couldn’t have timed the market better if he’d tried,” Giannamore says.”

Rollins, Inc. the parent company of  Orkin, has acquired the stock of Safeguard Pest Control and Environmental Services Limited, operating in greater London and Southeastern England. The acquisition closed June 30 and is Rollins’ first company-owned operation in the United Kingdom.

Established in 1991 and headquartered in Westersham Kent, United Kingdom, Safeguard is a long established pest control company in the UK, with a rich history of providing superior pest control, bird control, and specialist services to residential and commercial customers. Owners Paul Butterick and Tim Sheehan will stay on to run the company operations.

Gary W. Rollins, Vice Chairman and Chief Executive Officer of Rollins stated, “The Safeguard acquisition is an important milestone and expands our global presence. Safeguard’s outstanding management team has established the company as an industry leader, and we share a culture of continuous improvement and ongoing investment in training and development. In 2014 Potomac entered the Asia Pacific region and currently provides valuation, strategy and M&A advice to pest control companies in Japan, China, Singapore, South Korea and Australia. Potomac covers Asia and the Middle East, among other areas, through its operations in Switzerland.

This transaction will allow Lloyd’s shareholders, Lorne and Nancy Collins, to retire while providing significant growth opportunities for Lloyd’s management team and valued staff.

Rollins, Inc., the parent company of Orkin, has acquired Scientific Pest Management, which provides pest control service throughout Australia through owned, franchise and partner companies. This acquisition gives Rollins brands nationwide Australian coverage.

Scientific Pest Management was founded in 1974 and operated by Chris Jones. With more than 50 employees, the company offers commercial pest control and termite services, specializing in large contracts.

The company will continue to operate as Scientific Pest Management, and will work closely with Allpest, Statewide and Murray to deliver services to key customer relationships throughout Australia.

Anticimex Acquires American Pest

Anticimex of Sweden has acquired American Pest Control of Fulton, MD, marking its second acquisition in the United States.

American Pest was founded by Paul Calvert Cissel as the American Disinfectant Company in 1925.  The American Disinfectant Company was purchased from Mr. Cissel’s widow on November 23rd, 1983, by Robert Byrne, William Roll, Robert Wells, and Jay Nixon.

Anticimex’s entry into the United States has continued to exert upward pressure on transaction multiples in the Unites States pest control industry. The US market now has six large, well-capitalized acquirers: Rollins, ServiceMaster, Rentokil, Massey, Arrow and Anticimex.

Anticimex will utilize American Pest as a regional platform for growth in the Mid-Atlantic region.
